Junior Paralegal, Corporate Law, Mergers and Acquisitions - Contract
Job Description & Qualifications
We are looking for an enthusiastic Junior Paralegal to join the Corporate and Mergers & Acquisitions group in our Montreal office for a fourteen (14) month term.
The Paralegal, Corporate Law, Mergers and Acquisitions is an indispensable member of the team. Responsible for assisting the lawyers in his practice group, he carries out day-to-day transactions, such as incorporation, amendment, continuance, amalgamation, dissolution, registration of business names and partnerships, extra-provincial registration of partnerships and limited partnerships and related business maintenance tasks.
For the firm to achieve its clients' objectives, the incumbent of this position must be receptive, resourceful, professional and gifted in customer service, in addition to being able to manage mandates and priorities in such a way as to move cases forward and meet deadlines.
Main responsibilities:
Writing and editing
- Perform various legal and administrative tasks in corporate law, mainly, drafting documents relating to incorporations, organizations, share allocations, transfers, changes of directors, officers and shareholders, dividends, dissolutions or revivals, in addition to preparing, distributing and monitoring annual maintenance documentation regarding federal and provincial legal requirements and internal compliance requirements.
Document review and management
- Obtain registry/NUANS documents (e.g. certificates of compliance, transition documents, reports).
- Maintain and review corporate records, title books and registers, and upload signed documents into virtual minute books.
Preparation
- Prepare and update information regarding extra-provincial registration of corporations, business names, partnerships and limited partnerships and their renewal for all provinces and territories, and update business information in public records and internal Enterprise Services databases.
- Prepare business name and partnership registration, renewal and related documents as required.
Liaison & communications
- Perform various administrative tasks, including general inquiries regarding corporate records and virtual minute books.
Other
- Perform other depots and maintenance tasks.
What you will bring to Miller Thomson:
- One to three years of experience in a firm.
- Paralegal certificate or diploma or equivalent degree.
- Experience in corporate law an asset.
- Excellent organizational skills and strong time management skills.
- Ability to communicate professionally with clients, attorneys and team members.
- Ability to carry out several tasks simultaneously.
- Proven ability to manage a heavy workload, with competing priorities and demands.
- Ability to meet tight deadlines.
- Strong computer skills including Microsoft Office, Excel, Word, EnAct/Alf and Aderant.
- Ability to work independently, take initiative and follow instructions.
- Ability to work effectively in a team.
