Junior Paralegal, Corporate Law, Mergers and Acquisitions
Job Description & Qualifications
We are looking for an enthusiastic junior paralegal to join the Corporate Law and Mergers and Acquisitions group in our Montreal office .
The Corporate Law, Mergers and Acquisitions paralegal is an essential member of the team. Responsible for assisting the lawyers in his practice group, he carries out routine transactions, such as incorporation, amendment, continuance, consolidation, dissolution, registration of trade names and partnerships, extra-provincial registration of corporations and limited partnerships and related business maintenance tasks.
For the firm to achieve its clients' objectives, the incumbent of this position must be receptive, resourceful, professional and good at customer service, in addition to being able to manage mandates and priorities in a way that advance files and meet deadlines.
Main responsibilities:
Writing and editing
- Perform various legal and administrative tasks in corporate law, mainly, draft documents relating to incorporations, organizations, share allocations, transfers, changes of directors, officers and shareholders, dividends, dissolutions or reconstitutions, in addition to preparing and distributing annual maintenance documentation regarding federal and provincial legal requirements as well as internal compliance requirements, and ensuring follow-up.
Document review and management
- Obtain documents from the registry/NUANS (e.g. certificates of conformity, transition documents, reports).
- Maintain and review corporate records, title books and registers, and enter signed documents into virtual minute books.
Preparation
- Prepare and update information regarding extra-provincial registration of corporations, trade names, partnerships and limited partnerships and their renewal for all provinces and territories, and update business information in public registers and internal Business Services databases.
- Prepare business name and partnership registration, renewal and related documents as required.
Liaison et communications
- Perform a variety of administrative tasks including general inquiries regarding business records and virtual minute books.
Other
- Perform other deposits and maintenance tasks.
What you will bring to Miller Thomson:
- One to three years of experience in a firm.
- Paralegal certificate or diploma or equivalent diploma.
- Experience in corporate law an asset.
- Excellent organizational skills and strong time management skills.
- Ability to communicate professionally with clients, attorneys and team members.
- Comfortable in carrying out several tasks simultaneously.
- Proven ability to manage a large workload, with competing priorities and demands.
- Ability to meet tight deadlines.
- Strong computer skills including Microsoft Office, Excel, Word, EnAct/Alf and Aderant.
- Ability to work independently, take initiative and follow instructions.
- Ability to work effectively in a team.
